Terms of Use

By accessing or using the ZYHR platform ("Service"), you agree to be bound by these Terms of Use ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree with any part of these Terms, you must not use the Service.

ZYHR provides a cloud-based HR and attendance management platform that includes features such as employee attendance tracking, leave management, shift scheduling, Face ID verification, location-based check-in, and HR analytics dashboards. The specific features available to you depend on your subscription plan.

To use ZYHR, you must register for an account. You agree to: • Provide accurate, current, and complete information during registration. • Maintain and promptly update your account information. • Keep your password confidential and not share it with third parties. • Notify us immediately at support@zyhr.app if you suspect unauthorized access. • Be responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

ZYHR offers subscription-based plans. By selecting a paid plan: • You authorize us to charge your payment method on a recurring basis (monthly or annually) at the rates specified at the time of purchase. • Subscriptions automatically renew unless cancelled before the renewal date. • All fees are non-refundable except as required by applicable law or as explicitly stated in our refund policy. • We reserve the right to modify pricing with 30 days' notice. Continued use after the effective date constitutes acceptance of new pricing. • Taxes may apply depending on your jurisdiction.

You agree not to use the Service to: • Violate any applicable local, national, or international law or regulation. • Upload or transmit viruses, malware, or any other malicious code. • Attempt to gain unauthorized access to any part of the Service or its related systems. • Collect or harvest data from the Service without express written permission. • Use the Service to transmit unsolicited communications (spam). • Impersonate any person or entity or misrepresent your affiliation with any person or entity. • Interfere with or disrupt the integrity or performance of the Service.

You retain all ownership rights to the data you input into ZYHR, including employee records, attendance data, and organizational information ("Customer Data"). By using the Service, you grant ZYHR a limited, non-exclusive license to process Customer Data solely as necessary to provide the Service. We do not claim any intellectual property rights over your Customer Data.

The ZYHR platform, including its software, design, logos, trademarks, and content (excluding Customer Data), is the exclusive property of ZYHR, Inc. and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service during the term of your subscription. You may not copy, modify, distribute, sell, or lease any part of the Service.

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential ("Confidential Information"). This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

To the maximum extent permitted by law, ZYHR shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages. Our total aggregate liability to you shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

Either party may terminate the agreement at any time by providing written notice. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Service ceases immediately. We will provide you with an export of your Customer Data for 30 days following termination, after which we will delete it in accordance with our data retention policy.

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which ZYHR, Inc. is incorporated, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or in-app notification. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the Service.
